Versão 2024, última atualização: setembro de 2026.

Whereas the parties have entered into a Mixed Agreement for the assignment of use of space (including the lease of movable assets), the assignment of rights, and the provision of services, the following terms are agreed:

CLAUSE ONE – CONVENIENCES OF THE ASSIGNMENT OF USE OF THE SPACE, PAYMENT OF THE MONTHLY FEE, AND INITIAL AMOUNTS

  1. All services offered under this Agreement, including telephone answering services, shall be automatically deactivated by the Provider as of the seventh (7th) day of default of the applicable payment obligation, without the need for prior notice, and shall only be reactivated within up to two (2) business days after payment confirmation. Partial payment of outstanding amounts shall not result in the reactivation of the services until all outstanding amounts have been paid in full.
  2. The Provider shall not be liable for correspondence received for the Client during any period of default, and the Client releases the Provider from any liability for the delivery of correspondence during such period. If the default exceeds one hundred and twenty (120) days, the Provider may dispose of anything held in the Client’s name.
  3. Before the Client enters the Private Office, the inspection report listing the furniture and equipment must be signed.
  4. The assignment of use of the space includes the use of the address for the opening or transfer of a single company, including registration with public and administrative authorities, as well as the use of the address as a business reference on websites, business cards, brochures, etc. If use of the address is detected for another company or CPF that does not yet have an executed agreement, another plan shall automatically be charged. Monitoring and collecting summonses, subpoenas, notices, demands, as well as any other communication from the Judiciary or Public Administration, whether direct or indirect, shall be the sole responsibility of the Client, through public electronic services or by hiring specialized companies or entities.
  5. The movable assets subject to the assignment of rights of use under this Agreement are intended exclusively for the Client’s use, and the Client may not remove them from its Private Office, lend them, assign them, or dispose of them without the Provider’s prior and express consent.
  6. If the Client needs to increase the number of users in its Private Office, the Client shall be charged an additional monthly amount for each additional workstation per user, according to the Provider’s current price list.
  7. If the Client needs to place equipment in its Private Office, such as a printer, microwave, mini-fridge, etc., the Client shall be charged an additional monthly amount for extra equipment, according to the Provider’s current price list.
  8. The monthly fee for the contracted Private Office already includes expenses such as property tax (IPTU), condominium fees, cleaning, and maintenance.
  9. The monthly fee in the amount set forth on the first page of the Service Agreement shall always be paid in advance by bank slip (boleto) or through Recurring Billing, with the due date stated on the first page of the Service Agreement. In the case of payment through Recurring Billing, the agreed monthly fee shall be charged monthly as a one-time credit card transaction for an indefinite term, subject to the initial minimum commitment period under the Agreement. If the Client needs to make any changes to the information provided to the Provider regarding its monthly fee, it must immediately provide the Provider with the updated information so that the necessary changes may be made and Recurring Billing may continue.
  10. The Client may not claim non-receipt of the bank slip (boleto) as grounds for avoiding default and must retrieve a duplicate copy from the Client Portal whenever necessary.
  11. After the monthly fee due date, a fine of two percent (2%) and late-payment interest of zero point zero three three percent (0.033%) per day of delay shall apply. If, after the due date, the Client chooses to make payment by bank deposit, the payment amount shall be increased by the cancellation/settlement fee of the respective bank slip. If the Client begins making late payments, the Provider may change the payment method at any time, provided that the Client is notified in advance.
  12. After ten (10) days of delay in payment of the monthly fees for the contracted Private Office, the Client shall be prohibited from entering the premises until the respective amounts have been paid in full.
  13. The Client hereby acknowledges and accepts as due the services provided by the Provider and authorizes the submission of the respective bank slips to credit protection agencies and for protest registration by indication in the event of default. The Provider further declares that it may engage collection partners as representatives of its credit. In the event of default under agreements entered into by a legal entity, the Client’s partners/shareholders who signed the Agreement shall be jointly and severally liable for all financial obligations agreed between the parties, hereby authorizing that, in the event of default by the Client, such signing partners/shareholders may also be charged and/or have their names reported to credit restriction agencies due to the Client company’s debt.
  14. Upon execution of this Agreement, the Client shall pay the Provider an amount equivalent to one monthly fee as a guarantee, hereinafter referred to as the “Initial Deposit,” which shall be refunded to the Client at the end of the Agreement in accordance with the provisions of this document.
  15. Upon execution of this Agreement, the Client shall pay the Provider an amount as an “Enrollment Fee,” intended to cover contractual and registration expenses related to the preparation and release of agreements and attachments.
  16. If the contracted unit requires the use of badges, upon execution of this Agreement the Client shall pay the Provider the amount relating to the issuance of such badge(s) for access to the floor where the Client’s Private Office is located. The Client must register facial biometrics and/or biometric lock access on the day it begins using the Provider’s unit. This amount shall not be refunded at the end of the Agreement, and the badges must be returned to the Provider at the end of the lease. If the Client loses any badge, the Provider shall charge the amount set forth in the price list in effect at the time of cancellation/request.
  17. The amounts set forth in this Agreement shall be adjusted in accordance with the price list in effect at the time of renewal, based on the market price that best reflects the applicable variation. After twelve (12) months of the Agreement, the amounts shall be adjusted based on the accumulated IGP-M/FGV (General Price Index) or IPCA (Broad National Consumer Price Index) for the period, applying the index that best reflects market conditions at the time. Approximately three (3) months before the end of the Agreement, the Provider shall contact the Client to determine its interest in renewal, at which time the terms and conditions for the following period shall be renegotiated based on prevailing market conditions.
  18. For the Santana de Parnaíba unit (Shopping Service), if there is excess electricity consumption, the Provider may charge the Client an additional energy fee.
  19. In the event of a fortuitous event or force majeure, particularly in connection with water shortages or electricity scarcity in the country, the Provider may charge an additional amount to the Client, and such charge shall be communicated at the appropriate time.
  20. The Client grants the Provider authority to receive, on its behalf, notices of violation, notifications, summonses, judicial and extrajudicial subpoenas, and other documents from Public Authorities at the contracted address. In addition, the Provider shall receive everything delivered to the address, and there shall be no option to refuse receipt of any document. The Provider shall have twenty-four (24) business hours to notify the Client of any correspondence received.

CLAUSE TWO – PROVISION OF SERVICES AND PAYMENT

  1. With the right to use the Private Office, the following services shall be made available to the Client during the Provider’s business hours: use of a tax and business address and receipt of correspondence in general; pantry services, coffee, tea, and water; cleaning of the space once a day; assignment of rights to use shared broadband internet; assignment of rights to use a contracted business telephone line while this Agreement remains in effect; telephone line, with the possibility of using WhatsApp Business; and Personalized Telephone Answering Service, including answering, call transfers, and message delivery.
  2. Additional services charged separately by the Provider, such as scanning, photocopying, secretarial hours, calls, rooms for occasional use, etc., shall be paid by the Client together with the monthly fee. The Client authorizes the Provider to print/scan its documents within security parameters in accordance with the LGPD.
  3. If the Client wishes to activate the Mail Forwarding service, the amount for the provision of stamps and envelopes shall be posted to the services account.
  4. The Personalized Telephone Answering Service shall begin within three (3) business days after payment, execution of this Agreement, and submission by the Client of the duly completed telephone briefing form.
  5. Telephone carrier charges constitute a separate service and shall be billed according to the Client’s usage. The Client may use the telephone number provided by the Provider for business purposes during the term of this Agreement. The Client may only use WhatsApp Business if it has a telephone answering plan with the Provider, which shall entitle it to use the application for one (1) telephone number and one (1) device. If the Client requires additional WhatsApp Business numbers, it must contract a new Telephone Answering Plan.
  6. If the Client changes the trade name used in the Personalized Telephone Answering Service, the Client shall be charged, according to the Provider’s price list in effect at the time of the request, the Programming Fee applicable to such changes, and the Provider shall make the service available with the requested changes within a maximum period of three (3) business days.
  7. If the telephone carrier later identifies and bills new telephone calls relating to periods already billed by the Provider, the Client authorizes such calls to be charged in subsequent periods, subject to the applicable statutory limitation periods and provided that the Provider supplies the corresponding expense statement.
  8. If the Client requests call forwarding during nighttime hours, weekends, or holidays, activation of the service must be requested at least twenty-four (24) hours in advance on a business day.
  9. The parties agree that if the number of calls received on behalf of the Client exceeds four hundred (400) calls per month, the Client shall be charged BRL 1.00 for each excess call, and the corresponding amounts shall be included in the services account.
  10. The Personalized Telephone Answering Plan includes three (3) contacts, with each contact consisting of one (1) individual’s name, two (2) telephone numbers, and one (1) contact email address. Additional contacts shall be charged according to the current price list.
  11. For purposes of billing call transfers or calls made by the Provider to the Client for message delivery, a unique and exclusive access code assigned to the Client shall be used.
  12. The telephone system uses a Call Rating System that applies the tariff policy and billing methodology in effect in the country, plus a ten percent (10%) administrative fee.
  14. The Provider shall not be liable for correspondence received for the Client during any period of default, and the Client releases the Provider from any liability for the delivery of correspondence during such period. If the default exceeds one hundred and twenty (120) days, the Provider may dispose of anything held in the Client’s name.
  15. If the Client has entered into more than one Private Office agreement and has made only a partial payment of the outstanding balance, all services shall be suspended in full.
  16. After the amounts relating to the services become due, a fine of two percent (2%) and late-payment interest of zero point zero three three percent (0.033%) per day of delay shall apply.

CLAUSE THREE – RESPONSIBILITIES

  1. The Provider undertakes to comply with the provisions of this Agreement and expressly binds itself, its employees, and representatives to maintain the strictest confidentiality regarding information, documents, and data. Solely for training and monitoring purposes, the Provider may record certain calls in order to monitor and maintain the appropriate quality of service provided by its employees.
  2. The Provider shall not be responsible for any issue caused by the “Telephone Carrier” and/or WhatsApp Business, which are subject to the application’s limitations.
  3. The Provider shall not be responsible for any issue caused by internet access providers.
  4. The Provider shall not be required to obtain insurance for third-party equipment.
  5. The Provider shall not be responsible for any issue involving loss, delay, or tampering with correspondence caused by the Postal Service, the building condominium, or third-party delivery services.
  6. The Provider shall not be liable for damages arising from force majeure.
  7. The Provider shall not be liable for losses suffered by the Client as a result of damage to vehicles.
  8. In the event of an urgent situation, the Provider may relocate the Client, while the payment obligations shall remain in effect.
  9. The Client undertakes to be responsible for its acts, damages, data, and obligations and to keep its registration information updated.
  10. Each party shall bear its own tax, labor, and social security obligations.
  11. The Client is responsible for checking the voltage of the space’s outlets before connecting its equipment.

CLAUSE FOUR – TERM AND TERMINATION

  1. The contractual term shall be automatically and successively renewed in the absence of objection by either party until terminated. Prior notice shall be required regardless of how long the Agreement has been in effect: thirty (30) days for agreements of up to three (3) months and ninety (90) days for agreements longer than three (3) months.
  2. The Agreement may be cancelled provided that the Client is current with its payments. The Client shall only be exempt from paying the monthly fees due after formalizing the cancellation request and presenting proof of deregistration or transfer of the company before the Public Authorities, including the Registry Office or Board of Trade, Federal Revenue, State Tax Office, and Municipal Government, as well as websites and professional bodies such as OAB, CRM, etc., evidencing removal of the company from the Provider’s address before all Public Authorities if the address has been used for tax purposes. If removal of the aforementioned address is not proven, the Client shall remain obligated to pay the monthly fee until the address is effectively changed or deregistered.
  3. The refund of the original amount of the Initial Deposit, if any, shall occur within thirty (30) days after the cancellation becomes effective, provided that the Client is current with its payments. The Initial Deposit shall be refunded to a domestic bank account held by the Client. In the event of a refund of the Initial Deposit, such amount shall be returned to the Client by bank deposit, and the amount to be refunded, whether in whole or in part, shall not be subject to any adjustment. Upon termination of the service agreement, the Client shall cease using the exclusive telephone line granted and, consequently, the WhatsApp Business number.
  4. Upon termination of the Private Office Plan, an exit fee shall be charged, including carpet, window, and blind cleaning, painting, and disconnection of telephone and internet points. If the space becomes unavailable under any type of plan covered by this instrument due to damage caused by the Client, the Client shall be responsible, in addition to reimbursing the damage at invoice value or market value, for lost profits calculated according to the number of days during which the space remained unavailable.

CLAUSE FIVE – PROHIBITIONS

  1. The Client is expressly prohibited from carrying out installations without authorization, hiring the Provider’s employees within a period shorter than twelve (12) months, placing advertising outside the office, storing hazardous materials, cooking, or modifying installations without authorization.
  2. Building rules must be observed, including rules relating to attire, common areas, silence, and cleanliness. Pets are prohibited, as is the introduction of illegal, flammable, corrosive, or explosive materials.

CLAUSE SIX – GENERAL PROVISIONS AND SPACE RESERVATION

  1. Tax and corporate documents must be submitted within sixty (60) days, in accordance with applicable legal requirements, and shall be kept on file by the Provider.
  2. In the event of default and abandonment for more than two (2) months, the Provider may enter the room to remove belongings.

  7. Certain personal data of the Client/Provider, their partners/shareholders, employees, or visitors, including photos and recordings for security purposes, shall be transferred to the other party solely for the performance and execution of this Agreement and used exclusively for compliance with legal duties, contractual obligations, and legitimate interests. The parties further declare that they shall maintain the strictest confidentiality regarding all information received from the other party or collected under this Agreement. The Provider has a clear and objective Privacy and Personal Data Protection Policy, which may be accessed on its website at https://www.virtualoffice.com.br/politica-de-privacidade/. The parties undertake to fully comply with applicable personal data protection legislation, including Law No. 13,709/2018 (LGPD). Each party shall act according to its respective role in the processing of personal data and shall be exclusively responsible for processing activities carried out under its management and control. The Provider undertakes to adopt appropriate technical and organizational measures to protect personal data processed within the scope of this Agreement and to notify the Client, within a reasonable period, of any security incident that may affect personal data relating to the Client, its employees, representatives, or partners.
  8. The parties declare that they negotiated the provisions in advance, that this is not an adhesion agreement, and that they had sufficient time to read it in full before execution.
  9. To guarantee the reservation, the Provider may require the Initial Deposit as earnest money and security, which shall not be refunded in the event of withdrawal.
  10. A Delivery Delay of up to sixty (60) days shall be permitted, with provisional allocation, without constituting grounds for termination. The Client hereby acknowledges that delivery of the contracted space may be delayed, hereinafter referred to as the “Delivery Delay,” for a period not exceeding sixty (60) calendar days from the date originally scheduled for delivery. In such event, the Provider shall ensure that the Client is provisionally allocated to another space. A Delivery Delay within the limits set forth above may not be used as grounds for termination of the Agreement with refund of the reservation fee, which shall remain due. If the Client is provisionally allocated to another location, the contractually agreed monthly fees shall remain normally due. If the parties negotiate the use of a smaller or larger space than the one originally contracted, the monthly fees shall be charged according to the workstations actually used during the provisional period.
  11. The Provider may replace any market index if IGP-M or IPCA cease to exist and may change the amounts charged for its additional services without the Client’s consent.
  12. The parties elect the Central Court of the Judicial District of São Paulo as the competent court, expressly waiving any other jurisdiction.

PRIVATE INSTRUMENT FOR TEMPORARY USE

By means of this instrument, the parties, previously identified in the PRIVATE INSTRUMENT FOR SERVICES AND ASSIGNMENT OF RIGHTS, hereby enter into this private instrument to establish their duties and obligations regarding future temporary uses under the following conditions:

  1. Confirmation of temporary use (reservation) shall be sent by the PROVIDER to the CLIENT by email and shall contain the following information: a) date and time of the reservation; b) reserved room; c) unit; and d) reservation amount.
  2. If the CLIENT reserves a room for use on the same day and such reservation therefore falls outside the established cancellation periods, the CLIENT acknowledges that the room reservation may not be cancelled and, even if the room is not used, the corresponding charge shall be generated normally. Room reservations are subject to availability.
  3. Any cancellation or change to a temporary-use request must be made in writing at least one (1) business day before the start of the reservation for meeting rooms and executive rooms, and at least five (5) business days before the start of the reservation for the training room at the Paulista Unit, auditorium at the Berrini Prime Unit, meeting room for up to fourteen (14) people at the Berrini Prime Unit, and Gourmet Area at the Berrini Prime Unit, under penalty of full payment of the amounts stated in the reservation confirmation. For reservations made less than one (1) business day in advance, the same rule shall apply and the full reservation amount shall be charged.
  4. For meeting rooms and executive rooms, if the CLIENT exceeds the period previously established in the reservation confirmation, the PROVIDER shall charge, subject to availability and after a fifteen (15)-minute grace period, the additional use amount according to the PROVIDER’s current price list. After 18:00, an additional nighttime hourly rate shall apply, and the nighttime reservation end time for the relevant unit should be checked. If the CLIENT makes a reservation beginning at or after 20:00, the hours used shall be charged plus two (2) additional nighttime hours corresponding to the period from 18:00 to 20:00, even if such period is not used, due to the attendant remaining on-site to support the meeting. For the auditorium, meeting room for up to fourteen (14) people, and Gourmet Area at the Berrini Prime Unit, entry shall be permitted fifteen (15) minutes in advance and a fifteen (15)-minute grace period shall apply for return of the space according to the reserved period. Failure to return the space at the end of the reserved period shall constitute continued use. Any use exceeding the permitted grace period shall be charged for the full period used according to the current price list.
  5. The available spaces are intended for corporate meetings. Audio equipment may be used at ambient volume. It is strictly prohibited to smoke, including on balconies, remove furniture, stock, store, or leave any objects on the premises. The hall is a common area and may not be used. Loading and unloading are not permitted outside the reservation period.
  6. The CLIENT assumes full civil and criminal responsibility for activities carried out by the CLIENT and its visitors during use of the space, releasing the PROVIDER from any liability relating to the company’s activities, use of services, and use of the space on the PROVIDER’s premises.
  7. If the space is used for a meeting involving a recruitment and selection process, participants may be informed that the CLIENT has no affiliation with the PROVIDER if they repeatedly contact the PROVIDER seeking details about the selection process. In addition, the PROVIDER shall not be responsible for any information or commitments communicated during the meeting. During the period of room use, the CLIENT shall also be responsible for all objects and equipment rented for the event, as well as operation of the air-conditioning system and turning it off if the rented unit has an individual air-conditioning system.
  8. If access to the unit requires a badge, in the event of loss or misplacement of the badge obtained at reception, the CLIENT shall pay the amount set forth in the services price list in effect at the time. Additionally, if the rented unit offers coffee and capsules, such as Nespresso or any other brand, or provides mineral water, whether still or sparkling, or any other food or beverage item, an additional charge shall apply according to the current price list provided by the PROVIDER.
  9. If the PROVIDER incurs losses arising from any type of use requested by the CLIENT, particularly if legal services must be retained to protect the PROVIDER’s interests, the corresponding amounts shall be fully payable by the CLIENT and reimbursed upon presentation of proof of expense, in addition to lost profits, which shall be calculated per day during which the equipment or space remains unusable.
  10. For clients that have any plan with the PROVIDER and are current with their obligations, including having duly signed and submitted the Service Agreement, being current with payments, and having no history of default, the CLIENT authorizes the issuance of a bank slip for payment of all reservation amounts, due together with the monthly fee bank slip, except for reservations of the auditorium, meeting room for up to fourteen (14) people, and Gourmet Area at the Berrini Prime Unit, which must always be paid in advance and shall only be confirmed after payment. If changes or cancellations are made within the minimum required notice period, being at least one (1) business day for meeting rooms and executive rooms and five (5) business days for the training room at the Paulista Unit, auditorium, meeting room for up to fourteen (14) people, and Gourmet Area at the Berrini Prime Unit, no amount shall be charged to the client. However, if the client changes or cancels the reservation without the minimum notice required by the PROVIDER, the full reservation amount shall be charged.
  11. The PROVIDER shall not be responsible for the client’s personal belongings left in the room during the period of use. The CLIENT shall be responsible for securing the goods and valuables brought into the PROVIDER’s space, including obtaining insurance for such items. The CLIENT shall exercise the utmost care with its personal belongings and those of its guests and clients, including notebooks, tablets, cell phones, projectors, pens, folders, among others. The CLIENT is responsible for checking the voltage of the outlets before connecting its equipment. If the CLIENT damages any equipment, furniture, or space belonging to the PROVIDER, the CLIENT shall bear the invoice value of the item or, if no invoice is available, an equivalent replacement value. Any accident involving the Client and/or its guests shall not be the responsibility of the Provider.
  12. The CLIENT is prohibited from using or disclosing the address of the meeting/training room used by it or using the PROVIDER’s business address on business cards, brochures, websites, or before competent Public Authorities, including the Board of Trade, Registry Office, Federal Revenue, State Tax Office, and Municipal Government, without the PROVIDER’s prior written authorization. The parties agree that if the CLIENT uses or discloses the address of the room used by it without authorization, the PROVIDER may impose a penalty equal to fifty (50) times the room reservation amount for improper use of the address.
  13. This instrument shall remain valid for an indefinite term and shall become effective on the date of execution.
  14. The parties elect the Central Court of the Judicial District of São Paulo, State of São Paulo, to resolve any disputes relating to this instrument.

IT AND TECHNOLOGY POLICY (SHARED / EXCLUSIVE INTERNET)

This Policy forms part of the PROVIDER’s Service Agreement and supplements it, since the CLIENT has contracted a plan with the PROVIDER and wishes to use the PROVIDER’s Telecommunications and Internet services.

  1. USE OF THE LOCAL NETWORK: The Client shall have access points available to the wired local network (RJ-45), segmented by VLAN (Virtual LAN), which may or may not be for exclusive use (exclusive VLAN). Installation of repeater equipment such as hubs, bridges, access points (Wi-Fi), etc., is prohibited.
  2. USE OF THE WIRELESS NETWORK (WI-FI): The CLIENT shall have access to the shared wireless local network (WI-FI) available to all clients of the unit, and Hotspot authentication may be required each time the CLIENT connects. Since WI-FI is shared, connection privacy is not guaranteed, and the CLIENT shall take the precautions necessary to ensure the privacy and integrity of its connected device.
  3. USE OF THE INTERNET: Internet access offered to the CLIENT is shared and sized to provide appropriate working conditions, browsing, and use of services available through the Internet. No content control is applied to Internet access, and the CLIENT is fully responsible for ensuring that it is used lawfully and only for appropriate websites. It is also recommended that the CLIENT’s workstations have firewall mechanisms and/or other protections to preserve their integrity, and such resources are entirely the CLIENT’s responsibility. Although no content control is applied to the CLIENT’s Internet access, bandwidth usage is controlled to ensure that all clients have appropriate browsing speeds on the shared connection. In special cases where traffic generated by the CLIENT cannot be subject to latency or requires specific configurations, including VOIP, VPN, VC, etc., dedicated Internet access with public IP addresses may be required and shall be subject to a specific project and quote prepared by the network team according to the CLIENT’s needs and requirements. Any change in the CLIENT’s Internet usage profile or any activity not contemplated at the time of contracting must be promptly reported to the PROVIDER. The PROVIDER shall not be responsible for any issue caused by specific access or use without its knowledge.
  4. USE OF MULTIFUNCTION DEVICES (PRINTER, SCANNER AND/OR COPIER): The CLIENT shall have shared multifunction devices available for printing, scanning, and/or copying documents. Installation of this type of equipment on the wired network or WI-FI by the CLIENT itself is prohibited, except where there is a specific agreement for the use of such equipment in exclusive rooms.
  5. USE AND HOSTING OF EQUIPMENT: Shared environments are designed for connecting portable equipment, typically notebooks and tablets, while the CLIENT’s user is present at the units. Such equipment may not remain unattended or overnight. In specific cases, the use of non-portable equipment, such as desktop computers, in shared areas may be authorized; however, the CLIENT shall be responsible for removing such equipment at the end of the business day. In exclusive rooms, the CLIENT may keep non-portable equipment permanently connected to the network, provided that access doors are properly locked whenever no CLIENT users are present.
  6. USE OF MOBILE PHONES AND TABLETS: The CLIENT may use the shared wireless local network (WI-FI) to connect an additional device, such as a mobile phone (smartphone) or tablet, for Internet access and use of the PROVIDER’s mobile application for reservations, printing, check-in, check-out, etc. Hotspot authentication may be required each time the CLIENT connects. Because WI-FI is shared, the CLIENT shall use it responsibly so as not to overload the available resources and shall take the precautions necessary to ensure the privacy and integrity of its connected device.
  7. ACCESS CONTROL: The CLIENT shall safeguard its access identifiers for doors, turnstiles, and gates and keep them under its control. The CLIENT shall not access restricted areas without authorization or grant access to other persons. Credentials and passwords for access to systems, websites, and applications are personal and non-transferable and may only be used by the contacts provided by the CLIENT.
  8. RESTRICTIONS: The CLIENT assumes full responsibility for all access to and use of any item mentioned above, including all data to which it may have access, releasing the PROVIDER from any civil or criminal liability, whether at the national or international, federal or state level. The CLIENT shall use the tools provided solely for lawful purposes. In addition, the CLIENT shall maintain basic security and protection for its systems, including antivirus software, personal firewalls, antispam tools, etc., in order to prevent improper use and avoid violating this Agreement. The CLIENT further acknowledges that the PROVIDER does not monitor the content of information transmitted through its telecommunications lines or equipment. The PROVIDER accepts no liability for the content of the CLIENT’s transmissions.

And being duly agreed and contracted, the parties execute this Agreement in the presence of two (2) witnesses.

The parties expressly agree that this Agreement may be executed electronically and/or digitally, including through electronic signature platforms, and acknowledge the legal validity, authenticity, integrity, and effectiveness of such signatures under applicable law. An electronic signature shall have the same legal effect as a handwritten signature for all legal purposes.
